What is a Valuation Multiple?

A valuation multiple is a ratio that compares the value of a bar or nightclub to a financial metric. This can include cash flow, earnings, or sales. To get a range of value, business appraisers consider the market multiples of similar establishments that have recently sold and apply them to your bar or nightclub. For instance, SDE multiples are common when determining the value of a bar or nightclub. These multiples compare the value of a bar or nightclub to its seller’s discretionary earnings

For example, suppose the SDE of a bar or nightclub is $235,000. If it receives a 2.24x SDE multiple, the implied value of a bar or nightclub is $526,400. ($235,000 times 2.24x) On the other hand, if it receives a 2.86x multiple, the implied value of the bar or nightclub is $672,100. ($235,000 times 2.86x)

Peak Business Valuation often works with individuals who are buying or selling a bar or nightclub. In many cases, we use valuation multiples to determine the value of a bar or nightclub. In the following sections, we share a range of valuation multiples that bars and nightclubs often transact at. Each bar and nightclub is unique. As such, when valuing a bar or nightclub the range of value may vary. Below, we discuss SDE, EBITDA, and REV multiples for a bar or nightclub.

SDE Multiples for Bars or Nightclubs

Average SDE Multiple Range: 2.12x – 3.10x

On average, bars and nightclubs transact between a 2.12x – 3.10x average SDE multiple range. To estimate the fair market value of a bar or nightclub, apply the multiple to the seller’s discretionary earnings. See the following calculation.

SDE X Multiple = Value of the Business

For example, a bar or nightclub generates $328,000 in seller’s discretionary earnings and transacts at a 2.54x multiple. In this example, the value of the bar or nightclub is approximately $833,120.

$328,000 X 2.54x = $833,120

At Peak, business appraisers often use SDE multiples to value a bar or nightclub. This is because SDE multiples include common add-backs in the business valuation. This often includes a fair owner’s salary, any non-recurring or non-related business expenses, and personal expenses.

EBITDA Multiples for a Bar or Nightclub

Average EBITDA Multiple range: 3.00x – 5.07x

According to Peak’s data, bars and nightclubs sell between an average EBITDA multiple range of 3.00x – 5.07x. Apply this multiple to EBITDA to determine an implied value of the business. See the calculation below.

EBITDA X Multiple = Value of the Business

For example, a bar or nightclub has an EBITDA of $276,000. It transacts at an EBITDA multiple of 3.72x. With the above metrics, the bar or nightclub is worth about $1,026,720.

$276,000 X 3.72x = $1,026,720

EBITDA multiples help calculate the return on investment (ROI) the bar or nightclub owner can expect to make. When valuing a bar or nightclub, an EBITDA multiple may be preferred since it uses normalized ratios. This allows the valuation analyst to compare similar bars or nightclubs. This is because EBITDA normalizes differences in taxation, fixed assets, and capital structure. In addition, normalized ratios can provide a more accurate projection of the future earnings an investor can expect from the bar or nightclub.

REV Multiples for Bars or Nightclubs

Average REV Multiple range: 0.26x – 0.83x

Bars and nightclubs transact at an average revenue multiple between 0.26x – 0.83x. At Peak, a valuation expert can derive the implied value of the business by multiplying the bar or nightclub’s revenue or sales by the valuation multiple. Refer to the following calculation.

Revenue X Multiple = Value of the Business

For example, a bar or nightclub makes $1,400,000 in revenue. It then transacts at a 0.58x multiple. In this case, the business is worth approximately $812,000.

$1,400,000 X 0.58x = $812,000

The REV multiple measures the total amount of revenue generated by the bar or nightclub. As part of the valuation process, valuation experts assess REV multiples of similar bars or nightclubs that have recently sold. This helps the business appraiser determine an applicable multiple for your bar or nightclub. Keep in mind, bars and nightclubs tend to transact on cash flow multiples – SDE and EBITDA. The business appraiser will use their expertise to determine the most suitable multiples for a bar or nightclub.
